Your contract's rate, not the statutory one

Contractual penalty at a daily rate over the period of delay, with a check against any cap expressed as a percentage of the contract sum.

A contractual penalty differs from the statutory one in that the parties invent the rate themselves. The common wording is 0.1 percent of the amount per day of delay, but 0.5, a full percent and even 3 percent in consumer contracts all appear.

Always look for a cap. A clause reading "but no more than 10 percent of the contract price" rewrites the arithmetic on any long delay: without it a year runs to 36 percent, with it to exactly ten.

What to keep in mind

The base is the unperformed part of the obligation, not the whole contract price, when only part of a delivery is late.
A court may reduce a clearly disproportionate penalty, so the figure here is the upper bound of a claim.

FAQs

How does this differ from statutory interest?

A penalty comes from the contract and is normally higher; statutory interest comes from the code and follows the key rate. Where a contractual penalty exists it applies instead — you cannot claim both.

What if the contract says nothing about penalties?

Can a court cut the penalty?

Yes, where it is clearly disproportionate to the harm. Against a business it requires the debtor to ask; against a private individual the court may act on its own initiative.

Is a penalty received taxable?

For an individual, yes — it is taxable income and the paying company usually withholds. For companies it counts as non-operating income.

Worked example

Two months late on payment

Input: 500,000 ₽ owed, 60 days, 0.1 percent per day, no cap

Output: Penalty 30,000 ₽, 500 ₽ a day

Note: A 5 percent cap in the contract would have limited recovery to 25,000. Those clauses usually sit at the end of the liability section.
